Terms of Service

Please read these terms carefully. They explain what you can expect from Yellow and what we expect from you. Sections 16 and 17 contain a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. Please read them.
1. Who we are
Yellow is operated by Adventure Works Solutions LLP, a limited liability partnership registered in India (LLPIN AAF-6980), registered office at 364 C, Pocket J and K, Dilshad Garden, Delhi 110095 ("Yellow," "we," "us"). "You" means a user of spotyellow.com or the Yellow apps and tools (together, "Yellow").
2. Agreement
By using Yellow, you agree to these terms. If you do not agree, please do not use the service.
3. What Yellow is
Yellow is a suite of general wellness tools for women navigating perimenopause, menopause, and the years around them. It helps you record, understand, and communicate what is happening with your body. Yellow is a general wellness product, not a medical device, and it does not provide medical care. See our Medical Disclaimer.
4. Not medical advice
Yellow does not diagnose, treat, or prescribe, and nothing in it is a substitute for professional medical advice. It will never tell you to change a dose or start a supplement; those decisions stay between you and your clinician. Always seek the advice of a qualified health provider, and never disregard or delay medical advice because of something in Yellow. In an emergency, call 911 or your local emergency number.
5. Eligibility and your account
You must be 18 or older to use Yellow. Some features require an account. You are responsible for the accuracy of the information you provide and for keeping your login secure. Tell us promptly if you suspect unauthorised use of your account.
6. Acceptable use
Use Yellow only for its intended purpose. Do not misuse the service, disrupt or attempt to reverse-engineer it, scrape it, or use it to break the law or infringe anyone's rights.
7. Your data and privacy
Your data is yours. How we handle it is set out in our Privacy Policy and Consumer Health Data Privacy Policy. We do not sell your data, and we do not use your health data for advertising.
8. The practitioner directory
Yellow's directory lists independent practitioners. We do not employ them, we do not provide care through them, and listing is not a referral or endorsement. Practitioners may be located outside the United States and may not be licensed in your state or country. You are responsible for checking a practitioner's credentials and suitability. See the Practitioner Directory Disclaimer.
9. Waitlist and referrals
Joining the waitlist or referring a friend may make you eligible for rewards we describe at the time. Rewards are at our discretion, may require email confirmation, and may change or be withdrawn. They have no cash value and are void where prohibited.
10. Subscriptions, payments, and automatic renewal
This section applies only to paid Yellow products. It is included so it is ready when paid plans launch.
- Paid plans. Some Yellow products may be offered on a paid or subscription basis. The price, billing period, and what is included will be shown to you before you buy.
- Billing and authorisation. By starting a paid subscription, you authorise us or our payment processor or the app store to charge your chosen payment method the stated price plus any applicable taxes.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. We will tell you the renewal terms clearly before you subscribe, and, where required by law, send a reminder before renewal.
- How to cancel. You can cancel at any time before the next renewal through your account settings or, for App Store purchases, through your Apple account subscription settings. Cancellation stops the next charge; it does not retroactively refund the current period unless the law requires it.
- Free trials. If we offer a free trial, we will tell you its length and the price and date the paid subscription begins if you do not cancel. Cancel before the trial ends to avoid being charged.
- Price changes. We may change subscription prices. We will give you advance notice and the change will apply only to billing periods after the notice.
- Refunds. Except where required by law or stated at purchase, payments are non-refundable. App Store purchases are subject to Apple's refund process.
- State disclosures. For subscribers in California and other US states with automatic-renewal laws, the renewal terms, cancellation method, and any trial-to-paid conversion are disclosed at sign-up, and you may cancel online without contacting support.
11. Intellectual property
Yellow, its name, logo, content, and software are owned by us or our licensors. We grant you a limited, personal, non-transferable, revocable licence to use Yellow for its intended purpose. Your own data remains yours.
12. Third-party services
Yellow links to and relies on third-party services, such as the App Store and the directory practitioners. We are not responsible for the content, products, or practices of third parties.
13. Disclaimers
Yellow is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not guarantee that it will be uninterrupted, error-free, or that any particular outcome will result from using it.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of Yellow. Our total liability for any claim relating to Yellow will not exceed the greater of the amount you paid us in the 12 months before the claim, or USD 100. Nothing in these terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or fraud.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold Yellow harmless from claims, losses, and reasonable costs arising from your misuse of Yellow, your breach of these terms, or your infringement of any law or third-party right.
16. Governing law
These terms are governed by the laws of India, and, subject to Section 17, the courts at Delhi, India have jurisdiction over disputes, except as follows. If you are a US resident, the consumer-protection and privacy laws of your state of residence continue to apply to you, and nothing in these terms removes any right or remedy you have under those laws, including the California Consumer Privacy Act, the Washington My Health My Data Act, and similar state laws. Where US state law gives you a right that these terms would otherwise restrict, that state law controls for you.
17. Dispute resolution and arbitration (US residents)
This section applies to users resident in the United States. Read it carefully; it affects your legal rights.
- Informal resolution first. Before starting any formal proceeding, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days.
- Binding arbitration. If we cannot resolve it, you and Yellow agree that any dispute arising out of or relating to these terms or Yellow will be resolved by final and binding arbitration administered by a recognised US arbitration provider under its consumer rules, rather than in court, except as below.
- Exceptions. Either party may bring a claim in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorised-access claims. This section does not waive any right you cannot waive by law.
- Class-action waiver. You and Yellow agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.
- Opt out. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing [email protected] with "Arbitration Opt-Out" in the subject line and your account email. Opting out does not affect the rest of these terms.
- Where the law forbids this. If the arbitration agreement or class-action waiver is unenforceable for a given claim, that claim will be heard in the courts identified in Section 16, and the rest of this section still applies.
18. Termination and suspension
You may stop using Yellow and delete your account at any time. We may suspend or end your access if you breach these terms, misuse the service, or where we must to comply with law or protect users. On termination, the licence in Section 11 ends. Sections that by their nature should survive (including data, disclaimers, liability, indemnity, governing law, and disputes) survive termination.
19. General terms
- Severability. If any provision is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of it.
- Assignment. You may not assign these terms without our consent. We may assign them to an affiliate or in connection with a merger or sale, on notice to you.
- Entire agreement. These terms, with the policies they reference, are the entire agreement between you and Yellow about the service.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may give notice through Yellow or to your account email. Send legal notices to us at [email protected] and [REGISTERED ADDRESS, INDIA].
20. Changes
We may update Yellow and these terms from time to time. When we change the terms, we will update the date above. For material changes we will give notice. Continued use after a change means you accept the updated terms.
